These Terms of Service ("Terms") govern your access to and use of the Apex Logic website (apex-logic.net) and our services. By accessing or using our services, you agree to be bound by these Terms.
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must discontinue use immediately. We reserve the right to modify these Terms at any time, and continued use constitutes acceptance of any changes.
Apex Logic provides the following services:
Service scope, deliverables, timelines, and fees are defined in individual project proposals or statements of work ("SOW") agreed upon by both parties.
Project work begins upon execution of a SOW and receipt of any required deposit. Clients are responsible for providing necessary content, assets, access credentials, and timely feedback. Delays caused by the client may result in adjusted timelines and additional fees.
Upon full payment, the client receives ownership of the custom code, designs, and deliverables created specifically for their project. Apex Logic retains the right to:
Third-party assets (stock images, fonts, plugins) remain subject to their respective licenses.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement for a period of two (2) years.
To the maximum extent permitted by law, Apex Logic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services.
Our total liability for any claim shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
We warrant that our services will be performed in a professional and workmanlike manner. All projects include 24 months of bug-fix support from the date of delivery.
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
Either party may terminate the engagement:
Upon termination, the client shall pay for all work completed up to the termination date. Any non-refundable deposits are retained by Apex Logic. Completed deliverables will be handed over upon settlement of outstanding payments.
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
